Terms of Service

1. The service

Nakhoda is a web app for tracking vessel and crew certificates: storing them, reading their details, reminding you before they expire, checking crew against the certificates their rank requires, and sharing the results with charterers and inspectors. It is provided by IRFANCODER ENTERPRISE (MA0351775-U), a sole proprietorship registered in Malaysia ("we", "us").

These terms apply to your organisation's workspace and to everyone you invite to it. A separate written agreement with us, if you have one, takes precedence where the two differ.

2. Accounts and workspaces

Each customer has a workspace. You choose who to invite and what role each person has, and you are responsible for their use of it. Users must be at least 16.

Keep sign-in details secure and tell us at once if you think an account has been misused. With your permission, our team can enter your workspace in support mode to help set it up; every such visit is recorded in your audit log.

3. Acceptable use

Don't use Nakhoda to:

• upload documents or personal data you have no right to hold or share
• upload unlawful content or malware
• try to reach another customer's data, or get around access controls or rate limits
• resell the service or run abnormal automated load against it

We may suspend access that puts the service or other customers at risk, and will tell you why.

4. Your content

Certificates, crew and vessel records and everything else you add stay yours. You give us permission to store, process and display them only to run the service for you, including sending them to the service providers that run it, each bound by a data processing agreement.

You confirm you may lawfully give us the crew personal data you upload, for example under your employment or crewing arrangements. You can export your records and documents at any time.

5. AI features

Nakhoda uses AI to read details from documents, match files to crew members and vessels, and flag certificates worth a second look. These are suggestions. Read fields are held until someone on your team approves them, and flags are prompts to check a document, not findings that it is false.

You remain responsible for your compliance decisions and for confirming certificates with flag states, class and charterers. We don't use your documents to train AI models.

6. Early access

Nakhoda is in early access. Features may change, be withdrawn or behave unexpectedly, and we will tell you about changes that affect how you work.

7. Plans and billing

Pricing is agreed with each customer according to fleet size and is invoiced; there is no self-serve billing. Unless your agreement says otherwise, fees already paid are non-refundable except where the law requires.

8. Ending the service

You can stop using Nakhoda at any time. When your contract ends, you have 30 days to export your data, after which we delete it as described in our privacy policy. We may end the service for a breach of these terms that isn't fixed after notice.

9. Disclaimers

Nakhoda is provided as is. We work to keep it accurate and available, but we don't promise it will be uninterrupted or error-free, or that every expiry, gap or inconsistency will be caught.

10. Limitation of liability

To the extent the law allows, our total liability for any claim is limited to the greater of the amount you paid us in the 12 months before the claim and MYR 100. We are not liable for indirect losses, such as lost charter days, lost profit or lost data that could have been exported.

11. Changes to these terms

We may update these terms. We will give reasonable notice of material changes, and continuing to use Nakhoda after they take effect means you accept them.

12. Governing law

These terms are governed by the laws of Malaysia, and the courts of Malaysia have exclusive jurisdiction.
